Q Nightclub Outside Photographer Agreement

This Agreement (“Agreement”) is made and effective as of the date of this submission (“Effective Date”) by and between FMJ Clubcorp (“Q Nightclub”), and the submitting party of this form (“Licensee”), collectively hereafter the (“Parties”).

In consideration for the rights granted herein, Licensee hereby accepts and acknowledges the following:

1. GRANT OF RIGHTS

Q Nightclub hereby grants Licensee, subject to Pre-Approval in Paragraph 2, the right to enter upon and be in and around the premises of the aforementioned event (“Event”), for the purpose of filming video and/or photography content (the "Content”).

2. LICENSEE RESPONSIBILITIES

Licensee must submit this request no later than two (2) days prior to the Event Date (“Pre-Approval”). Q Nightclub reserves the right to revoke Licensee’s access to the Event, at Q Nightclub’s sole discretion, if Licensee: (a) endangers the safety of themselves or others or (b) fails to behave in a professional demeanor. LICENSEE MUST WEAR ALL BLACK ATTIRE. Licensee shall, at all times, respect the nightclub attendees’ experience at the Event and shall not interfere with their enjoyment of the Event in any way.

If working in conjunction with an artist, Licensee agrees to ONLY film/photograph their set.

3. USE OF CONTENT

Licensee and their Client shall have the right to use the Content solely for promotional purposes (e.g., on Client’s social media channels but not in connection with any sponsorship). Under no circumstances may the Content be used for commercial purposes without Q Nightclub’s prior written consent. Licensee, as applicable, shall be solely responsible for obtaining all required rights, clearances, consents, authorizations and licenses which are or may be necessary in connection with the Content and for making all payments in connection therewith, as well as for complying with all union requirements, if any, in connection with the Content.

4. Q NIGHTCLUB PROPERTIES

Licensee, as applicable, shall not use Q Nightclub’s names, marks, symbols, copyrights, logos, designs, representations, figures, drawings, recordings, ideas, or other proprietary designations or properties owned, or in connection with the Content without the express written consent of Q Nightclub. Q Nightclub reserves all rights to its copyrights, trademarks and other intellectual properties.

5. INDEMNITY

Licensee will indemnify, defend and hold harmless Q Nightclub (as defined in Paragraph 6) from and against any and all claims or loss arising out of any violation of any law, rule, regulation or order, and from any and all claims or liabilities, including reasonable attorneys fees, for loss, damage or injury to persons or property of whatever kind or nature arising from the acts or omissions of Licensee, its parents, partners, affiliates, subsidiaries, successors or assigns and each of their respective agents, employees, representatives and contractors. LICENSEE ASSUMES FULL RESPONSIBILITY FOR ANY RISK OF OR ACTUAL BODILY INJURY, DEATH OR VENUE DAMAGE ARISING OUT OF OR RELATED TO ENTRY BY LICENSEE INTO THE EVENT.

6. MISCELLANEOUS

This Agreement contains the entire understanding of the parties relating to the subject matter hereof, and supersedes all previous agreements or arrangements between the parties relating to the subject matter hereof. No change, amendment or modification of any provision of this Agreement shall be valid unless set forth in a written instrument signed by the party subject to enforcement of such amendment.
